Shiraz Farm Odoo POS – End User License Agreement

1. Description of the App

Shiraz Farm Odoo POS is a semi-integrated point-of-sale payment integration developed and provided by Shiraz Farm Inc. The App connects Odoo Point of Sale with compatible Clover payment devices to facilitate card-present payment transactions.

The App allows authorized users to create and manage sales orders in Odoo POS, initiate Clover payment requests, receive transaction results, and complete the corresponding Odoo POS order when payment is successfully completed.

The App may also support payment cancellation and recovery, full refunds, partial refunds, and controlled refund workflows across registers within the same store, depending on the merchant's configuration and Clover account capabilities.

2. Requirements

Use of the App requires:

  • An active Odoo POS installation compatible with the App.
  • A compatible Clover payment device.
  • An active Clover merchant account.
  • Internet connectivity.
  • Authorization from the merchant to connect its Clover merchant account to the App.

The Merchant is responsible for maintaining its Odoo and Clover accounts, compatible hardware, internet connection, and required third-party services.

3. Clover Services

The App communicates with Clover services and compatible Clover payment devices using Clover-supported APIs and authentication mechanisms.

Clover is a separate service provider. Use of Clover services and devices is subject to the applicable Clover agreements, terms, policies, and requirements.

Shiraz Farm does not control the availability, operation, or performance of Clover's services, hardware, network, or payment-processing infrastructure.

4. Payment Processing

The App facilitates communication between Odoo POS and Clover for card-present payment transactions.

Payment authorization and processing are performed through the Clover payment environment. The App does not independently authorize or settle card transactions.

The Merchant is responsible for maintaining its Clover merchant account and payment-processing arrangements.

5. Payment Card Information

The App is designed so that payment-card information is entered and handled through the Clover payment device and Clover payment environment.

Shiraz Farm does not intentionally collect or store customers' full payment-card numbers, card security codes, or other sensitive payment-card credentials through the App.

The Merchant must not use the App to collect or store payment-card information outside the payment processes supported by Clover.

6. OAuth and Merchant Authorization

The App uses Clover OAuth to authorize the connection between an eligible Clover merchant account and the App.

The Merchant authorizes the connection during the Clover authorization process.

The App may access limited merchant information necessary to identify and validate the authorized Clover merchant and operate the integration.

7. Merchant Responsibilities

The Merchant agrees to:

  • Use the App only for lawful business purposes.
  • Provide accurate information when connecting the App to Clover.
  • Maintain appropriate access controls for Odoo and Clover accounts.
  • Restrict use of the App to authorized personnel.
  • Protect account credentials and authentication information.
  • Comply with applicable laws and regulations.
  • Comply with applicable Clover and Odoo terms and policies.
  • Establish appropriate procedures for payments, cancellations, and refunds.

The Merchant is responsible for activity initiated through its Odoo and Clover accounts.

8. Refunds and Cancellations

Where supported by the Merchant's configuration and Clover account, the App may facilitate full refunds, partial refunds, and payment cancellation or recovery workflows.

The Merchant is responsible for determining whether a refund or cancellation should be issued and for following its own refund policies and applicable laws.

Shiraz Farm does not determine whether a particular customer is entitled to a refund.

9. License

Subject to this Agreement, Shiraz Farm grants the Merchant a limited, non-exclusive, non-transferable, revocable license to use the App for the Merchant's internal business operations.

The Merchant may not:

  • Copy, modify, or distribute the App except as permitted by this Agreement or applicable law.
  • Reverse engineer or attempt to derive the source code of the App except where permitted by applicable law.
  • Resell or sublicense the App without written authorization.
  • Use the App to provide unauthorized payment-processing services to third parties.
  • Circumvent security or access controls.

10. Intellectual Property

The App, including its software, configuration, documentation, and associated materials, is owned by or licensed to Shiraz Farm Inc.

All rights not expressly granted under this Agreement are reserved.

Clover and related Clover names, trademarks, and services belong to their respective owners. Odoo and related Odoo names, trademarks, and services belong to their respective owners.

This Agreement does not grant the Merchant ownership of any Clover or Odoo intellectual property.

11. Third-Party Services

The App depends on third-party services, including Odoo and Clover.

Shiraz Farm is not responsible for outages, changes, limitations, interruptions, or failures of third-party services that are outside Shiraz Farm's reasonable control.

Changes to Clover APIs, devices, authentication requirements, or services may require corresponding changes to the App.

12. Availability and Changes

Shiraz Farm may update, modify, improve, suspend, or discontinue portions of the App when reasonably necessary, including to maintain compatibility, security, or compliance with third-party platform requirements.

13. Security

Shiraz Farm takes reasonable measures appropriate to the App's intended operation to protect information handled by the App.

The Merchant is responsible for maintaining secure Odoo and Clover accounts, devices, networks, passwords, and user access.

No software or internet-based service can be guaranteed to be completely secure or uninterrupted.

14. Disclaimer

To the extent permitted by applicable law, the App is provided on an "as available" basis.

Shiraz Farm does not guarantee uninterrupted operation or continued compatibility with every future version of Odoo, Clover software, Clover hardware, operating systems, or third-party services.

Nothing in this Agreement excludes or limits rights that cannot lawfully be excluded or limited.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Shiraz Farm Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the App.

This includes losses resulting from third-party service interruptions, network failures, hardware failures, compromised Merchant credentials, or Clover or Odoo service disruptions.

Nothing in this Agreement limits liability where such limitation is prohibited by applicable law.

16. Indemnification

To the extent permitted by applicable law, the Merchant agrees to indemnify and hold harmless Shiraz Farm Inc. from claims, losses, liabilities, damages, and reasonable expenses arising from:

  • The Merchant's misuse of the App.
  • The Merchant's violation of this Agreement.
  • Unauthorized use of the Merchant's Odoo or Clover accounts.
  • The Merchant's violation of applicable laws or third-party terms.

17. Termination

The Merchant may stop using the App at any time.

Shiraz Farm may suspend or terminate access to the App if reasonably necessary because of security concerns, misuse, violation of this Agreement, legal requirements, or material changes to underlying third-party services.

Upon termination, the Merchant must stop using the App and disconnect the integration where applicable.

18. Privacy

Information collected or processed through the App is governed by the Shiraz Farm Odoo POS Privacy Policy.

The Privacy Policy explains the information the App may access, how it is used, and how it is protected.

19. Governing Law

This Agreement is governed by the laws applicable in the Province of British Columbia, Canada, except where applicable law requires otherwise.

20. Changes to this Agreement

Shiraz Farm may update this Agreement when reasonably necessary to reflect changes to the App, applicable law, security requirements, or third-party platform requirements.

The updated version will be posted on this website with a revised "Last Updated" date.
